These Terms of Sale govern all sales and delivery of products and services by AllOnGuide, LLC (“AllOnGuide”). By purchasing from AllOnGuide, you agree to these Terms of Sale. Any conflicting terms submitted by the purchaser are hereby rejected.
1. Governing Terms
All sales and deliveries of AllOnGuide products and services are subject to these Terms of Sale. Any additional or conflicting terms proposed by the purchaser, whether submitted in a purchase order or otherwise, are expressly rejected unless accepted in writing by AllOnGuide.
2. Taxes
The prices listed do not include sales, use, value-added, excise, customs duties, or other applicable taxes unless expressly stated. Purchasers are responsible for all applicable taxes, duties, or fees related to the sale, delivery, or use of the products. If applicable, such amounts may be added to the invoice and must be paid by the purchaser.
3. Prices
All prices are provided in U.S. Dollars unless otherwise specified. Prices quoted at the time of order are estimates and subject to adjustment based on feasibility, complexity, and other factors. Final pricing will be confirmed after the order review and prior to shipment or service completion.
AllOnGuide reserves the right to modify its prices at any time without notice. Changes to the final price will be communicated to the purchaser, and confirmation will be required before manufacturing or delivery.
4. Rebates and Discounts
Any discounts or rebates must be properly documented and accounted for by the purchaser in compliance with all applicable laws and regulations. Pricing under this agreement may constitute discounts that require proper reporting as required by federal, state, or local laws.
5. Delivery
Unless otherwise agreed in writing, products will be shipped:
- FCA (Free Carrier): If AllOnGuide’s carrier is used.
- EXW (Ex Works): If the purchaser selects an alternate carrier.
Purchasers assume all costs and risks associated with shipping, including insurance, unless otherwise stated in writing. AllOnGuide is not responsible for shipping delays caused by carriers.
6. Payment Terms
Payment terms will be stated on the invoice. If no terms are specified, payment is due upon receipt. Payments must be made in U.S. Dollars.
For invoices unpaid beyond 30 days, a 1.5% monthly interest fee or the maximum legal rate may apply. Purchasers are responsible for all costs incurred in collecting overdue payments, including court costs and attorney fees.
7. Warranty
AllOnGuide warrants its products to be free from defects in materials and workmanship according to their specifications. This warranty applies only to the original purchaser and is contingent upon timely notification of any defect prior to return.
AllOnGuide disclaims all other warranties, express or implied, including but not limited to fitness for a particular purpose or merchantability. Purchasers assume all risks arising from the use of AllOnGuide products or services, whether used individually or in combination with other products.
8. Claims, Returns & Exchanges
Purchasers must inspect products upon receipt. Claims for defects or nonconformities must be submitted in writing within 20 days of delivery. Products may not be returned without prior written authorization from AllOnGuide.
Upon verification of a defect, AllOnGuide may, at its discretion:
- Repair the product.
- Replace the product.
- Provide a credit or refund.
All returns must comply with AllOnGuide’s return procedures and include sterilization if applicable.
9. Licenses and Permits
Purchasers are responsible for securing any required permits, licenses, or governmental approvals necessary for the use of products. Unless otherwise agreed, AllOnGuide products are intended for use only within the United States.
10. Force Majeure
AllOnGuide is not liable for delays or failures caused by events beyond its reasonable control, including but not limited to natural disasters, labor disputes, governmental actions, or supply chain disruptions. In such cases, delivery timelines may be adjusted accordingly.
11. Export Restrictions
Purchasers must comply with all applicable export and import laws. Products may not be resold or transferred to unauthorized destinations or entities in violation of U.S. export laws. AllOnGuide reserves the right to request end-use information and compliance documentation.
12. Indemnification
Purchasers agree to indemnify and hold AllOnGuide harmless against any claims, damages, or liabilities arising from:
- Misuse of products.
- Use of products in unauthorized applications.
- Violations of applicable laws or regulations.
13. Limitation of Liability
AllOnGuide is not liable for indirect, incidental, or consequential damages, including lost profits, regardless of the legal theory of liability, even if AllOnGuide has been advised of the possibility of such damages.
14. Confidentiality
All pricing, terms, and related information provided by AllOnGuide are confidential and may not be disclosed to third parties without prior written consent, except as required by law.
15. General Provisions
These Terms of Sale constitute the entire agreement between AllOnGuide and the purchaser and supersede all prior agreements, written or oral. Any modifications must be in writing and signed by an authorized representative of AllOnGuide.
These terms are governed by the laws of the State of [Insert State], without regard to conflicts of law principles.
