This Fulfillment Policy (“Terms”) outlines the conditions under which Ay Tasarim LLC (doing business as “AllOnGuide”) provides and delivers its products and services. By placing an order, you agree to be bound by these Terms. Any conflicting or additional terms proposed by the Purchaser are expressly rejected unless agreed to in writing by AllOnGuide.
1. Governing Terms
All sales and deliveries of AllOnGuide products and services are subject to these Terms. Any additional or conflicting terms submitted by the Purchaser, whether in a purchase order or otherwise, are rejected unless expressly accepted in writing by AllOnGuide.
2. Taxes
Prices do not include sales, use, value-added, excise, customs, or other applicable taxes unless specifically stated. The Purchaser is responsible for all such taxes and fees, which may be added to the invoice if applicable.
3. Prices
All prices are quoted in U.S. Dollars unless stated otherwise. Prices provided at the time of order are estimates and may be adjusted based on complexity, feasibility, or other relevant factors. Final pricing is confirmed before shipment or completion of services.
AllOnGuide reserves the right to change prices without notice. Any change will be communicated, and Purchaser confirmation will be required prior to manufacturing or delivery.
4. Rebates and Discounts
Any discounts or rebates offered must be documented and accounted for in compliance with all applicable laws and regulations, including healthcare-specific pricing disclosure rules.
5. Delivery
Unless otherwise agreed in writing, products will be shipped:
- FCA (Free Carrier): If AllOnGuide’s carrier is used
- EXW (Ex Works): If the Purchaser selects a different carrier
The Purchaser assumes all costs and risks related to shipping, including insurance. AllOnGuide is not responsible for delays caused by the shipping carrier.
6. Payment Terms
Payment terms will be listed on the invoice. If not specified, payment is due upon receipt. Payments must be made in U.S. Dollars.
Invoices unpaid beyond 30 days may incur a 1.5% monthly interest fee or the maximum rate permitted by law. Purchasers are responsible for all collection costs, including legal fees.
7. Warranty
AllOnGuide warrants that its products will be free from defects in material and workmanship under normal use, according to their specifications. This warranty applies only to the original Purchaser and requires timely written notice before return. Returned products must be sterilized if applicable.
All other warranties—express or implied, including merchantability or fitness for a particular purpose—are disclaimed. The Purchaser assumes all risks associated with use of the products or services, including in combination with other products.
8. Claims, Returns & Exchanges
Purchasers must inspect products upon receipt. Claims for defects or nonconformity must be submitted in writing within 20 days of delivery. Products may not be returned without prior written authorization from AllOnGuide.
Upon verification, AllOnGuide may at its discretion:
- Repair the product
- Replace the product
- Issue a credit or refund
All returns must follow AllOnGuide’s return procedures and be sterilized if required.
9. Licenses and Permits
The Purchaser is responsible for obtaining any necessary licenses, permits, or government approvals for product use. Unless otherwise agreed in writing, AllOnGuide products are for use within the United States only.
10. Force Majeure
AllOnGuide is not liable for delays or failures caused by events beyond its control, including natural disasters, labor actions, supply disruptions, or government restrictions. Delivery timelines may be adjusted accordingly.
11. Export Restrictions
Purchasers must comply with all applicable export and import laws. Products may not be resold or transferred to embargoed destinations or unauthorized third parties. AllOnGuide may request end-use information or export compliance documentation.
12. Indemnification
Purchasers agree to indemnify and hold AllOnGuide harmless from any claims, damages, or liabilities arising from:
- Misuse of products
- Unauthorized applications
- Violations of applicable laws or regulations
- Third-party use or modification of products
13. Limitation of Liability
AllOnGuide is not liable for any indirect, incidental, or consequential damages, including loss of profits or business interruption, regardless of legal theory—even if advised of the possibility of such damages.
14. Confidentiality
All pricing, terms, and related materials provided by AllOnGuide are confidential. They may not be disclosed to third parties without prior written consent, except as required by law or regulatory authorities.
15. General Provisions
These Terms constitute the full agreement between AllOnGuide and the Purchaser and supersede all prior communications or agreements. No modification shall be binding unless made in writing and signed by an authorized AllOnGuide representative.
These Terms are governed by the laws of the State of Florida, without regard to its conflict of law principles.
Caution: Federal law restricts these products to sale by or on the order of a licensed healthcare practitioner.
